1. General Provisions

1.1. This document constitutes an official offer (public offer) to enter into an agreement with an individual using the Нейроцентр service (the “User”) on the terms set out below.

1.2. Pursuant to Article 437 of the Civil Code of the Russian Federation, this document is a public offer.

1.3. Acceptance of this Offer occurs through:

• registration in the Нейроцентр mobile application;
• use of the Application functionality;
• subscription or payment for services.

1.4. From the moment of acceptance, the User is deemed to have entered into an agreement on the terms of this Offer.

2. Service Description

2.1. Нейроцентр enables the User to:

• create images using artificial intelligence technologies;
• create videos from text descriptions;
• create videos based on images;
• use various image and video generation modes.

2.2. Generation is performed using third-party AI services, including Kling models and other artificial intelligence technology providers.

2.3. The generation result depends on the AI models used and may differ from the User’s expectations.

3. Subject of the Agreement

3.1. The Provider grants the User access to the Нейроцентр service functionality.

3.2. The User pays for the services by taking out a subscription or by other payment methods made available in the Application.

4. Tokens and Generations

4.1. The following are used to access generation functions:

• Image Tokens, for image generation;
• Video Tokens, for video generation.

4.2. The number of tokens charged for a particular generation is determined by the terms applicable in the Application at the time the service is used.

4.3. Users without an active subscription may receive free daily tokens in the amount set by the Provider.

4.4. The Provider may change the number of tokens granted, the cost of generations, and their terms of use without prior agreement with the User.

5. Price and Payment

5.1. Services are paid for by:

• bank cards through Robokassa LLC;
• Google Play Billing;
• Apple In-App Purchases.

Service prices are displayed in the Application and may be changed by the Provider.

5.2. All payments are made in Russian rubles or another currency determined by the User’s payment system.

5.3. All settlements are cashless.

6. Subscription and Automatic Payments

6.1. The User may subscribe to:

• Weekly;
• Monthly;
• Yearly.

The subscription price and terms are displayed in the Application.

6.2. A subscription provides:

• a specified number of Image Tokens;
• a specified number of Video Tokens;
• access to additional Нейроцентр PRO features.

6.3. Automatic renewal

If a subscription is taken out through an application store or payment service supporting recurring payments:

• the subscription renews automatically;
• the charge is made on the date the paid period ends;
• the charge may be made within 24 hours before the subscription period ends.

6.4. By subscribing, the User confirms acceptance of this Offer and consent to automatic subscription renewal when using the applicable payment method.

7. Subscription Cancellation

7.1. The User may cancel automatic subscription renewal through App Store settings, Google Play settings, or the payment service if the subscription was taken out through that service.

7.2. Cancellation does not result in a refund for an already paid period.

8. Refunds

8.1. A refund may be available in the event of a technical charging error, inability to provide the paid service, or other cases provided by the legislation of the Russian Federation.

8.2. A refund is made on the basis of a User request.

8.3. A request is reviewed within 10 business days.

9. Changes to Service Prices

9.1. The Provider may change the price of subscriptions and other paid services.

9.2. Upon a price change, the User is notified in the manner provided by the relevant platform, and the new terms apply only to subsequent subscription periods.

10. Liability of the Parties

10.1. The Provider does not guarantee a result that fully meets the User’s expectations or the absence of errors in third-party AI services.

10.2. The Provider is not responsible for images and videos created by the User, subsequent use of generation results, or inability to generate due to third-party AI provider restrictions.

10.3. The User agrees not to use the service for unlawful purposes or to create content that violates the legislation of the Russian Federation or third-party rights.

10.4. Нейроцентр uses third-party AI technologies, including Kling models and other generation services.

10.4.1. The Provider is not responsible for interruptions in third-party services or the quality or content of generation results produced by third-party AI models.

11. Personal Data

11.1. Personal data is processed in accordance with the Нейроцентр Privacy Policy.

11.2. By using the Application, the User consents to processing of their personal data to the extent necessary to provide services.

12. Force Majeure

12.1. The parties are released from liability for non-performance of obligations in the event of force majeure.

13. Changes to the Offer Terms

13.1. The Provider may amend this Offer.

13.2. The new version takes effect upon publication on the official website or in the Application.

14. Term

14.1. This Offer remains in force indefinitely until amended or withdrawn by the Provider.

15. Dispute Resolution

15.1. All disputes are resolved in accordance with the legislation of the Russian Federation.

15.2. A pre-trial dispute-resolution procedure is mandatory before filing a claim in court.
